Terms of Sale

These Terms of Sale apply to purchases from the Verduona store operated by Ocelot Development s.r.o., registered office Roháčova 145/14, Žižkov, 130 00 Praha 3, Czech Republic, IČO 02039273, DIČ CZ02039273 (“Ocelot”, “we”, “us”). Verduona is our trade-facing brand.
1. Products and services
We may offer software subscriptions, digital services, usage credits, AI-assisted professional services, audits, implementation work, deposits, training, and other items described on the relevant product page. The product page, accepted proposal, statement of work, or order confirmation specifies the main characteristics, price, taxes, delivery or performance timing, term, and any eligibility conditions. If those specific terms conflict with these general terms, the specific terms apply, subject to mandatory law.
AI-assisted outputs can contain errors and must be assessed for their intended use. BOZP, safety, compliance, legal, financial, medical, or other regulated work remains subject to the qualified-human review and access conditions stated in the offer. Payment alone never bypasses review, allowlisting, identity verification, or product safety controls.
2. Orders and contract formation
You must provide accurate order and contact information and have authority to purchase for yourself or the organization you identify. An order is an offer to purchase. A contract is formed when we accept the order or begin performance, unless the product page or order confirmation states otherwise. We may reject or cancel an order for a legitimate reason, including an obvious pricing error, unavailability, sanctions or fraud risk, failure to meet an eligibility condition, or inability to perform lawfully. If we cancel after payment, we will refund the affected amount.
3. Prices, tax, and payment
Prices and applicable taxes or charges are shown before the order is submitted. Shopify Checkout processes payment and creates the transaction record. Ocelot remains the seller and merchant of record. You are responsible for any taxes or duties lawfully payable by you that are not collected at checkout. We do not impose undisclosed payment charges.
4. Delivery, provisioning, and performance
Digital access, credits, and protected workspaces are provisioned through our Sphere control plane only after the relevant payment event and eligibility checks are verified. A successful payment does not itself grant protected access. Professional services may require an intake, scope confirmation, identity or authority check, scheduling, or human review before work begins. Delivery timing is stated in the offer or agreed scope.
5. Consumer right of withdrawal
If you are an EU consumer, you generally have 14 days to withdraw from a distance contract without giving a reason: for services, from the day the contract is concluded; for goods, from delivery. To withdraw, send an unambiguous statement to firemni@gmail.com identifying you, the order, and the item or service.
If you expressly ask us to begin a service during the withdrawal period and then withdraw, you may owe the proportionate value of work supplied before withdrawal. You lose the withdrawal right for a fully performed service only where applicable law allows it and after your prior express consent and acknowledgement. For digital content not supplied on a tangible medium, the withdrawal right is lost only after supply begins with your prior express consent and acknowledgement. We will not rely on these exceptions without the required consent.
6. Defects, conformity, and complaints
Mandatory legal rights concerning conformity, defects, remedies, and guarantees are not limited by these terms. Report a defect or complaint to firemni@gmail.com with the order reference and enough information to investigate. We will acknowledge and handle consumer complaints within the periods required by Czech law. Remedies may include correction, replacement, price reduction, termination, or refund where legally applicable.
7. Subscriptions
Recurring purchases are also governed by the Subscription Policy displayed by the store. The billing interval, price, minimum term if any, and cancellation method must be shown before purchase.
8. Liability and mandatory rights
Nothing in these terms excludes or limits liability or rights that cannot lawfully be excluded, including mandatory consumer rights. You remain responsible for decisions made from outputs and for using products and services within the documented scope.
9. Governing law and disputes
Czech law governs these terms, without depriving consumers of mandatory protections of their habitual residence. We first invite you to contact us to resolve any issue directly. Eligible consumer disputes may be referred to the Czech Trade Inspection Authority (Česká obchodní inspekce), Central Inspectorate – ADR Department, Gorazdova 1969/24, 120 00 Prague 2, adr@coi.gov.cz, coi.gov.cz/informace-o-adr/.
